Important information regarding your ordering, delivery, installation, and use of Kitchen Pro bespoke kitchen solutions.
1. Introduction & Corporate Structure
1.1 Parties: These Terms and Conditions constitute a legally binding agreement between you ("The Client/Buyer") and Sterling Grid Security Ltd ("The Company").
1.2 House of Brands: The Company operates via specialised trading styles: Plan Pros, Kitchen-Pros, Pergola Pros, and Sterling Grid Products. All contractual relationships are held exclusively with the parent entity.
1.3 Jurisdiction: This agreement is governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the English courts.
2. Intellectual Property & Proprietary Assets 🛡
2.1 Ownership: All trademarks, website content, and proprietary engineering concepts—specifically "Laser Edge" bonding technology, "Mousetrap Effect" structural stability calculations, and the design specifications for the 'Monolith RF Frame' and 'Dual Lock' mechanisms—remain the exclusive property of Sterling Grid Security Ltd.
2.2 IPO Status: The 'Monolith RF Frame' and 'Dual Lock' are subject to UK IPO patent applications and are marked as 'patent pending'. The name MONOLITH GUARD is a registered trademark (UKTM Application No. 8387740).
2.3 Restrictions: No material may be copied, reproduced, or utilised for commercial purposes without explicit written consent.
3. Plan Pros: Architectural Design Services
3.1 Title Disclosure: In accordance with Section 20 of the Architects Act 1997, Plan Pros functions as Architectural Designers and Technologists. We are not "Chartered Architects".
3.2 The "No-Build" Disclaimer: All drawings are conceptual and marked "NOT FOR CONSTRUCTION." They do not contain the structural, thermal, or fire safety calculations required for Building Regulations approval.
3.3 Building Regulations 2023: The Client acknowledges their statutory duty under the Building Regulations etc. (Amendment) (England) Regulations 2023 to appoint a Principal Designer and Principal Contractor in writing for any project requiring Building Control approval.
3.4 OS Data & Measurements: Plan Pros utilizes official Ordnance Survey (OS) mapping data and a remote self-survey workflow. The Client accepts full responsibility for the accuracy of measurements provided; The Company accepts no liability for errors resulting from inaccurate Client data.
4. Kitchen-Pros & Pergola Pros: Bespoke Provisions
4.1 Cancellation: Under the Consumer Contracts Regulations 2013, made-to-measure goods (including replacement doors and custom pergolas) are exempt from the standard 14-day cooling-off period.
4.2 The 24-Hour Rule: We provide a voluntary 24-hour window from the time of payment for amendments or cancellations. After 24 hours, orders enter the manufacturing phase and are non-refundable.
4.3 The Millimetre Rule: All dimensions must be provided in millimetres (mm). We accept no liability for goods that do not fit due to measurement errors or the failure to account for standard clearance gaps.
4.4 Warranty Exclusions (Kitchen-Pros): The 6-year manufacturing warranty excludes damage from excessive moisture or heat exposure (e.g., steam from boiling kettles) unless the product is protected by suitable heat strips.
4.5 Structural Integrity (Pergola Pros): Any structural warranty is valid only if the pergola is installed on a solid, level foundation and bolted down using the provided base plates.
5. Delivery, Risk & Inspection 🚚
5.1 Delivery Choice Measures: To ensure compliance with consumer transparency standards, we offer two delivery tiers:
- Standard Kerbside: Client provides able-bodied assistance to move heavy components from the kerbside.
- Premium Two-Man: Full offloading service handled by the Company to the property boundary.
5.1.1 Pergola Pros Specialised Delivery: Notwithstanding the "Kerbside Only" provision in Section 5.1, deliveries for the Pergola Pros vertical utilise specialized HIAB truck-mounted cranes or Moffett forklifts to facilitate the placement of the structure directly onto the Client’s prepared site. This enhanced service is subject to the following strict conditions:
- Site Readiness: The Client is responsible for ensuring the site is level, has adequate hardstanding, and is clear of obstructions before the delivery vehicle arrives.
- Access Requirements: The Client must provide accurate site access details (including gates, narrow paths, or overhead obstructions) during the "Pergola Pros Architect" tool flow or prior to dispatch.
- Presence & Safety: The homeowner or an authorized representative must be present on-site during the delivery to conduct safety checks and verify the landing zone.
- Failed Access: If delivery cannot be completed due to inaccurate access descriptions, inadequate ground stability, or the absence of the Client, the "Failed Delivery & Storage" fees outlined in Section 5.3 shall apply.
- Damage Reporting: Given the high-specification nature of the crane-lifted delivery, any visible transit or lifting damage must be recorded and reported to the Company within 48 hours of the drop-off.
5.2 Reporting Deadlines: Visible transit damage must be reported within 48 hours for Pergola Pros. Shortages or manufacturing defects for Kitchen-Pros must be reported within 10 working days and strictly BEFORE fitting, drilling, or alteration.
5.3 Failed Delivery: If delivery fails due to Client error or site obstructions, The Company reserves the right to charge for redelivery and a storage fee of £15 per day.
5.3.1 Specialised Logistics Failure: Notwithstanding the standard fees in Section 5.3, because Pergola Pros deliveries involve specialized HIAB crane-lift or Moffett equipment, any delivery that fails due to Client error—including but not limited to inaccurate site access descriptions, undisclosed overhead obstructions (e.g., cables/balconies), or an unlevel landing zone—will incur a Specialized Redelivery Surcharge of £300.
- Storage Fees: In addition to the surcharge, the standard storage fee of £50 per day will apply until redelivery is successfully completed.
- Site Requirements: To avoid these charges, the Client must ensure the site meets all requirements specified in the "Logistics Hub" and that the homeowner is present for the scheduled safety check.
- Accuracy Liability: The Client accepts full responsibility for the access details provided in the "Pergola Pros Architect" tool; the Company accepts no liability for delivery failures resulting from inaccurate Client data.
6. Data Privacy: The "Secure Halo" âš–
6.1 Legitimate Interest: Under the Data Use and Access Act (DUAA) 2025, we process and share project data across our verticals under the lawful basis of "legitimate interest" to ensure product compatibility and operational continuity.
6.2 Security: Data is stored on secure UK-based servers using high-level encryption standards.
7. Liability & Price Certainty
7.1 Financial Cap: The Company’s maximum aggregate liability for any claim is limited to the purchase price of the specific product or service. We are not liable for indirect, special, or consequential losses.
7.2 Price Certainty (VAT): The price agreed at checkout is final. If the Company becomes VAT-registered during the term of your order, we will absorb the cost for all orders confirmed prior to the registration date.
8. Force Majeure
8.1 The Company shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including acts of God, pandemics, strikes, or transportation disruptions.
9. General Obligations
9.1 Site Access: The Client must ensure the site is accessible, level, and clear of obstructions prior to delivery or installation.
9.2 Amendments: We reserve the right to amend these Terms and Conditions. Any changes will take effect once published on our website.
