MODULE A: CORE GENERAL & JURISDICTIONAL FRAMEWORK
Applicable to all transactions, clients, and brand verticals.
1. Parties, Corporate Structure & Definitions
- 1.1 The Contract: This contract is between you ("The Client", "The Buyer", "The Customer") and Sterling Grid Security Ltd ("The Company", "we", "us").
- 1.2 Trading Styles: The Company operates multiple specialised brand verticals, including Plan Pros, Kitchen Pros, Pergola Pros, Shutter Pros, and Sterling Grid Products. All legal, financial, and contractual obligations are held exclusively by the parent company, Sterling Grid Security Ltd.
- 1.3 Customer Status (Classification Test):"Consumer": An individual acting wholly or mainly outside their trade, business, craft, or profession and entitled to mandatory protections under the Consumer Rights Act 2015."Business Client": Any entity or individual contracting in the course of trade, business, craft, or profession.
2. Jurisdiction & Governing Law
- 2.1 Governing Law: This agreement, and any dispute or claim arising out of or in connection with it or its subject matter, shall be governed by and construed in accordance with the laws of England and Wales.
- 2.2 Jurisdiction: The courts of England and Wales shall have jurisdiction over any disputes arising from this contract, subject always to mandatory statutory rights allowing Consumers to bring proceedings in their local UK courts.
3. Intellectual Property Rights & Asset Protection
- 3.1 Retention of Intellectual Property: All intellectual property rights, including trademarks, website designs, coding, 3D renderings, engineering calculations, proprietary specifications, and engineering concepts remain the exclusive property of Sterling Grid Security Ltd.
- 3.2 Registered Marks & Systems: MONOLITH GUARD® and associated systems are protected intellectual property of the Company. No licence or right to copy, reproduce, modify, or reverse-engineer is granted.
- 3.3 Unauthorised Use: All conceptual files, drawings, and sketches remain Company property unless paid for in full. Unauthorised use is prohibited. The Company reserves the right to seek injunctive relief, damages, and recovery of legal and enforcement costs.
- 3.4 Media Licence: The Client grants the Company a non-exclusive, revocable licence to use submitted media (including images, measurements, and project data) for contract fulfilment and marketing purposes, subject to UK data protection law.
4. Data Protection & Privacy
- 4.1 Data Processing: Personal data is processed in accordance with UK GDPR and the Data Protection Act 2018 for contractual, legal, and legitimate business interests.
- 4.2 Cross-Border Processing: Data may be transferred securely to approved international subcontractors for design and production purposes, subject to appropriate safeguards.
- 4.3 Marketing Consent: Marketing communications are sent only where opt-in consent is provided and may be withdrawn at any time.
5. Limitation of Liability
- 5.1 Statutory Baseline: Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory rights under the Consumer Rights Act 2015.
- 5.2 Business Liability: In business-to-business transactions, the Company's total liability is limited to the total contract value paid for the relevant goods or services.
- 5.3 Exclusion of Consequential Loss: To the fullest extent permitted by law, the Company is not liable for indirect, special, or consequential losses, including loss of profit or business interruption, in business-to-business transactions. Nothing in this clause affects the statutory rights of Consumers, and Consumer claims shall be determined in accordance with applicable UK law.
6. Force Majeure
- 6.1 Performance Shield: The Company shall not be liable for any delay or failure in performance caused by events outside its reasonable control.
- 6.2 Covered Triggers: Such events include, but are not limited to, natural disasters, war, strikes, supply chain disruption, pandemics, government action, and infrastructure failure.
- 6.3 Dissolution Option: Where a force majeure event continues for more than 60 days, either party may terminate the contract, subject to payment for goods or services already supplied or costs already incurred.
7. Consumer Rights
- 7.1 Statutory Guarantee: Nothing in these terms affects the statutory rights of consumers under the Consumer Rights Act 2015 or any other applicable UK legislation.
8. General Provisions
- 8.1 Entire Agreement: This agreement constitutes the entire contract between the parties and supersedes all prior discussions or representations.
- 8.2 Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
- 8.3 Variation: No amendment is valid unless agreed in writing by an authorised representative of the Company.
- 8.4 Assignment: The Company may assign or subcontract its rights or obligations where reasonably required.
- 8.5 Notices: All formal notices must be given in writing via email.
- 8.6 Complaints & Dispute Resolution: If you are unhappy with any aspect of your order, contact the brand support address on your order confirmation. We aim to acknowledge complaints normally within 3 working days and to provide a substantive response normally within 14 working days. Where resolving your complaint depends on information from a manufacturer or carrier, we will tell you, and will keep you updated until it is resolved. If you remain dissatisfied, you may ask for your complaint to be reviewed afresh before we give our final response. We are not obliged to participate in an alternative dispute resolution scheme and do not currently subscribe to one; however, we will always seek to resolve complaints directly and fairly through our internal complaints process.
MODULE B: PLAN PROS – ARCHITECTURAL DESIGN & CAD SERVICES
Applicable exclusively to architectural design, technologist layout drafting, and conceptual CAD packages.
1. Professional Status
- 1.1 Protected Title Status: The Company operates as architectural designers and technologists only and does not provide services reserved for chartered architects.
- 1.2 Technical Execution: The Company may use international subcontractors for CAD drafting and technical production.
2. Design Limitations
- 2.1 Structural Status: All drawings are conceptual and NOT FOR CONSTRUCTION unless explicitly stated otherwise.
- 2.2 Data Reliance: The Company relies on client-supplied measurements and accepts no liability for inaccuracies provided by the Client.
- 2.3 Statutory Duty: The Client is responsible for appointing competent persons under UK Building Regulations requirements.
3. Workflow & Planning
- 3.1 Progression Window: If no revision requests are received within 7 calendar days of delivery, the project workflow will be placed on hold pending further client instruction or feedback. Where no response is received within a reasonable period, the Company may treat the project as inactive for scheduling purposes. This does not affect statutory consumer rights regarding service quality.
- 3.2 Revision Scope: Reasonable revisions are included within the agreed design scope.
- 3.3 Planning Risk Allocation: The Company does not guarantee planning approval and is not liable for local authority decisions.
- 3.4 Drawing Modification Disclaimer: The Company is not liable for unauthorised third-party alterations to drawings.
MODULE C: KITCHEN PROS, PERGOLA PROS & SHUTTER PROS – BESPOKE & IMPORTED GOODS
Applicable to made-to-measure, custom-quoted, or supply-only structural and retail products.
1. Bespoke Goods & Cancellation
- 1.1 Bespoke and made-to-measure products: Products made to your specification or clearly personalised — including made-to-measure shutters, kitchen doors and panels cut or machined to your stated dimensions, and pergolas manufactured to your stated dimensions — are exempt from the statutory 14-day cancellation right under regulation 28(1)(b) of the Consumer Contracts Regulations 2013. Once your order for such a product is confirmed, it cannot be cancelled. This is stated on the relevant product pages and at the point of order.
- 1.2 Standard products: For products that are not made to your specification (for example handles, hardware and standard accessories), you have the right to cancel within 14 days of the day you receive the goods, without giving a reason. To cancel, contact the brand support address on your order confirmation or use the model cancellation form at /pages/cancellation-form. If you cancel, we will refund all sums paid, including any deposit and standard delivery charges, within 14 days of receiving the goods back or receiving evidence that you have returned them. You are responsible for the direct cost of returning the goods to our designated UK return point; for items which cannot normally be returned by post, the return cost or its calculation basis is stated before you buy. We may reduce your refund to reflect any loss in value of the goods caused by handling beyond what is necessary to establish their nature, characteristics and functioning.
- 1.3 Services (Plan Pros): You have the right to cancel a service order within 14 days of purchase. If you ask us to begin work within that period (which you do at checkout), and you then cancel before the service is fully performed, you will pay a proportionate amount for the work already done and we will refund the balance. Once the service has been fully performed, the right to cancel is lost. Orders may be amended free of charge within 24 hours of purchase.
- 1.4 Accurate Scaling: All measurements must be provided accurately by the Client. The Company relies entirely on client-supplied specifications for remote orders and is not liable for incorrect fit due to client measurement errors.
2. Quotations & Supply Chain
- 2.1 Period of Validity: Quotations are valid for 7 days.
- 2.2 Binding Agreement: A contract is formed only upon signed acceptance and payment.
- 2.3 Delivery Projections: Lead times are estimates and may be affected by international shipping delays or external events.
- 2.4 Planning Responsibility: The Client is responsible for planning permission and compliance unless otherwise agreed in writing.
3. Product Guarantees
Product guarantees for all brands are set out in Module E: Product Guarantees below, which replaces the warranty provisions previously in this section. Every guarantee in Module E is provided by Sterling Grid Security Ltd.
4. Supply & Installation
- 4.1 Service Core: The Company is a supply-only provider.
- 4.2 Execution Ownership: The Client is responsible for installation and ensuring competent installers are used.
- 4.3 Third-Party Work: The Company is not liable for installation errors or third-party work.
MODULE D: LOGISTICS & FINANCE TERMS
Applicable to logistics and financial mechanics across all brand verticals.
1. Delivery & Inspection
- 1.0 Collection (Shutter Pros): Shutter Pros orders are supply-only and are made available for collection; we do not deliver shutters. We will notify you when your order is ready for collection from the address stated in your order confirmation.
- (a) Risk in the products passes to you on collection, being the point at which the goods come into your physical possession (or that of a person identified by you to collect them); title passes on receipt of payment in full.
- (b) You must inspect the products and report any damage, shortage or visible fault within 48 hours of collection, with photographs, and before installation. Failure to do so does not affect your rights in respect of defects not reasonably discoverable on inspection (see E.5.3).
- (c) If you have not collected the products within 14 days of our notifying you they are ready, we may charge reasonable storage costs reflecting our actual costs of storage, notified to you in advance.
- (d) If the products remain uncollected, we may, after giving you at least 14 days' further notice in writing (by email to the address on your order), resell or dispose of the products. Where products are resold, we will account to you for the proceeds of resale less our reasonable costs of storage and resale; where made-to-measure products cannot reasonably be resold, we may charge you any shortfall between the price paid and any amount recovered.
- (e) References in this Module D to "delivery" shall, for Shutter Pros orders, be read as references to collection.
- 1.1 Access Clearance: The Client must ensure safe and suitable delivery access.
- 1.2 Damage Notification Window: Any visible transit damage or shortages must be reported within 48 hours of delivery for reporting verification purposes. Physical alteration, cutting, installation, or modification of the goods will be treated as strong evidence that the goods were accepted in their delivered visual and cosmetic condition at the time of delivery for inspection purposes. This does not restrict or affect a Consumer's statutory rights regarding inherent, un-visualised manufacturing faults discovered later.
- 1.3 Logistical Surcharges: Failed delivery due to site access issues may incur additional costs.
- 1.4 Freight Limits: Delays caused by logistics providers are outside Company liability.
2. Payment Terms
- 2.1 Error Adjustments: Pricing errors may be corrected or orders cancelled where obvious mistakes occur.
- 2.2 Pergola Milestone Framework: Pergola Pros requires 75% deposit and 25% final payment prior to dispatch.
- 2.3 Plan Upfront Framework: Plan Pros requires upfront payment; cancellation may result in retention of costs incurred.
- 2.4 Recovery Provisions: Late payments may incur statutory interest and recovery costs where applicable.
MODULE E: PRODUCT GUARANTEES
E.1 Your statutory rights
- E.1.1 The guarantees in this Module are given by Sterling Grid Security Ltd and are in addition to, and do not affect, your legal rights under the Consumer Rights Act 2015, including your rights where goods are faulty, not as described, or not fit for purpose.
- E.1.2 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any matter which it would be unlawful for us to exclude.
- E.1.3 Where in this Module we describe how claims under this voluntary guarantee are handled, that description applies to guarantee claims only. If you choose instead to exercise your statutory rights under the Consumer Rights Act 2015, the statutory remedies (including, where they apply, the short-term right to reject, repair or replacement, price reduction and the final right to reject under sections 19 to 24 of that Act) apply as provided by law and are not varied by this Module.
E.2 What the guarantees cover
- E.2.1 Each guarantee covers defects in materials or manufacturing workmanship present in the product as supplied, arising under normal domestic use, for the period stated in the table for that brand and product type.
- E.2.2 Guarantee periods run from the date the goods come into your possession: the date of collection (Shutter Pros) or the date of delivery (Kitchen Pros, Pergola Pros).
- E.2.3 Where a valid claim is accepted under this voluntary guarantee, we will, at our reasonable choice, repair the affected item, supply a replacement, or refund the price paid for the affected item. Replacement is like-for-like; where an original finish or colour has been discontinued, the nearest available equivalent will be offered. This choice of remedy applies only to claims made under this guarantee and does not limit or replace the remedies available to you by law (see E.1.3).
- E.2.4 The guarantee periods stated in this Module are voluntary guarantees provided by Sterling Grid Security Ltd. They do not constitute a prediction of product lifespan, expected service life, or a promise that a product will remain free from wear, deterioration or maintenance requirements throughout the guarantee period.

Structural frame guarantee periods for the Base and Gold ranges will be published once confirmed with the manufacturer; in the meantime your statutory rights apply in full to every product.
E.3.4 — Plan Pros provides architectural drawing and planning services, not goods; this Module does not apply to those services. Our services obligations are set out in Module B.
E.4 What the guarantees do not cover
E.4.1 The guarantees do not apply to any defect or damage arising from:
- (a) fair wear and tear;
- (b) accident, misuse, neglect, or wilful damage by you or any third party;
- (c) installation defects — meaning damage or malfunction caused by the fitting, assembly or installation process rather than by the product as supplied, where fitting is carried out by you or a third party engaged by you. Examples include: cabinets or frames racked or twisted through being fitted out of square or to an uneven wall; use of unsuitable, overtightened or insufficient fixings; fixing to unsuitable substrates; cutting, drilling or adaptation beyond the supplied fitting guidance; and damage occurring during handling or fitting. Our shutter, kitchen and pergola products are supplied for self-fitting or third-party fitting; defects in the products themselves remain covered regardless of who fits them, including product defects discovered after installation;
- (d) incorrect measurements or specifications submitted with your order (see Module C and the measurement confirmation given at the point of order);
- (e) alteration, modification, drilling or repair not authorised by us in writing;
- (f) use outside normal domestic conditions or outside the product's intended environment as described in the product listing and supplied guidance (for kitchen products this includes non-domestic use, and outdoor or garage installation);
- (g) exposure to heat, steam or water contrary to the care and installation guidance supplied with the product or the manufacturer's stated operating conditions — for kitchen products this includes siting adjacent to heat sources without the heat-deflector strips specified in the fitting guidance, or above or below appliances emitting steam — except where the damage is unrelated to that exposure;
- (h) storage or fitting in conditions contrary to the supplied guidance, including damp or non-temperature-controlled conditions;
- (i) failure to follow the care and maintenance guidance supplied with the product;
- (j) for pergola products, loads or weather conditions exceeding the model's published wind and snow ratings as stated on the product page and in the supplied documentation.
E.4.2 Cosmetic variations inherent to natural materials (grain, tone, colour movement in timber) and minor settling within the manufacturer's stated tolerances are not defects. Photographs and renderings shown on our websites and marketing materials are illustrative; the grain, tone and colour of natural materials will vary between the images shown and the product supplied.
E.5 How to claim
- E.5.1 Contact the brand support address shown on your order confirmation as soon as reasonably possible after discovering the issue, and in any event promptly enough for the issue to be assessed, quoting your order number and including clear photographs of the issue and, where relevant, of the product as installed.
- E.5.2 We may ask reasonable questions or request further images to assess the claim, and may arrange inspection or collection of the affected item. Where the cause of a fault is reasonably disputed, we may require independent evidence or inspection before determining whether the issue falls within this guarantee.
- E.5.3 Transit or collection damage, shortages, or faults visible on reasonable inspection must be reported within 48 hours of collection or delivery, before the products are installed (see Module D). This 48-hour window applies only to visible damage, shortages and faults. It does not apply to, and failure to report within it does not affect your rights (statutory or under this guarantee) in respect of, defects which could not reasonably have been discovered on inspection at the time of collection or delivery.
- E.5.4 Making a claim under this Module does not affect your statutory rights or remedies.
E.6 Losses not covered
- E.6.1 This voluntary guarantee provides the remedies described in clause E.2.3 only. It does not itself provide reimbursement for costs of removal, refitting, redecoration or other consequential losses.
- E.6.2 Nothing in this Module limits or excludes any remedy or right to recover losses that you may have under the Consumer Rights Act 2015, at common law, or otherwise where we are legally responsible. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
E.7 Product safety
- E.7.1 If you believe a product may be unsafe or you discover a defect which could present a safety risk, stop using the product where it is appropriate and safe to do so, and contact us immediately using the brand support address on your order confirmation. We will investigate promptly and tell you what to do next, including any repair, replacement, return or recall arrangements.
